The Twitter IPO: Thoughts on the IPO End Game

The Twitter IPO moved into its final phase, with the announcement last week of the preliminary pricing estimates per share and details of the offering. The company surprised many investors by setting an offering price of $17 to $20 per share, at the low end of market expectations, and pairing it with a plan to sell 70 million shares. Having posted on my estimate of Twitter�� price when the IPO was first announced and following up with my estimate of value, when the company filed its prospectus (S-1) with Twitter, I thought it would make sense to both update my valuation, with the new information that has emerged since, and to try to make sense of the pricing game that Twitter and its bankers are playing.

Updated valuation

In my original valuation of Twitter, just over a month ago, I used the Twitter's initial S-1 filing which contained information through the first two quarters of 2013 (ending June 30, 2013) and the rough details of what investors expected the IPO proceeds to be. Since then, Twitter has released three amended filings with the most recent one containing third quarter operating details and share numbers that reflect changes since June 30. Incorporating the information in this filing as well as the offering details contained in the report leads me to a (mostly minor) reassessment of my estimate of Twitter�� value.

The company sells its Tupperware products directly to distributors, directors, managers, and dealers; and beauty products primarily through consultants and directors. As of December 26, 2009, the Tupperware distribution system had approximately 1,800 distributors, 61,300 managers, and 1.3 million dealers; and the sales force representing the Beauty businesses approximately 1.1 million. The company was formerly known as Tupperware Corporation and changed its name to Tupperware Brands Corporation in December 2005. The company was founded in 1996 and is headquartered in Orlando, Florida.

    Where growth will come from
    One area that Newell Rubbermaid still has to tap fully is emerging markets. The company has done a good job of expanding overseas, with 17% annual growth in Latin America. But with barely a quarter of its sales coming from outside the U.S. and Canada, the company has a lot further to go. Storage rival Tupperware (NYSE: TUP  ) gets fully 60% of its total revenue from emerging markets, and it too has seen impressive gains in South America as well as the Asia-Pacific region.

    Caterpillar (NYSE: CAT  ) , down 1.1%
    For Caterpillar, the past two months have been quite volatile, with the stock having dropped about 10% only to recover nearly all of that lost ground more recently. Just before earnings, Caterpillar took a big hit when the bottom fell out of the gold market, as gold prices fell more than $140 in a single day. The impact of gold's decline on its mining equipment business could be huge, as miners struggling with much narrower margins will have less money to spend on capital expenditures for Caterpillar equipment. Yet since then, macroeconomic moves to bolster world growth, including rate cuts from the European and Australian central banks, have given investors hope that commodities will bounce back and that mining activity will resume. Now, Caterpillar just needs to see that turn into a reversal of horrendous sales trends in recent months.

    Before the opening bell on Monday, Caterpillar Inc. (CAT) announced its fourth quarter and full year earnings, posting lower revenue compared to last year’s quarterly and FY results.

    CAT’s Earnings in Brief

    Caterpillar reported fourth quarter revenues of $14.402 billion, down 10% from last year’s Q4 revenue of $16.075 billion. The company’s Q4 profit came in at $1 billion, up from last year’s Q4 profit of $697 million. SWK’s EPS for the quarter was $1.54, up from last year’s Q4 EPS of $1.04. CAT beat analysts’ estimates of $1.28 EPS on revenues of $13.64 billion. For the full year, CAT posted revenues of $55.565 billion, down from $65.875 billion, and profit of $3.789 billion versus last year’s $5.681 billion. For the FY2014, CAT expects EPS of $5.85.

    CEO Commentary

    Caterpillar’s chairman and CEO Doug Oberhelman had the following comments about the company’s earnings:�”In such a challenging environment, I am proud of the way our employees came together in 2013. Despite a sales and revenues decline of about $10 billion, we set a record for operating cash flow, strengthened our balance sheet and improved our overall market position for machines. We continued to improve safety in our facilities and the quality of the products we ship each day. Cost flexibility is critical to our strategy and was a significant focus in 2013 as we took substantial actions to help maintain profitability as sales declined. Excluding the impact of cost absorption our�manufacturing costs�and SG&A and R&D expenses were favorable by $1.2 billion compared with 2012. It wasn’t easy, especially for our employees who endured an incredibly tough year, but the actions we initiated helped us deliver strong operational performance in 2013.”

    Elsewhere on the Dow, Caterpillar (NYSE: CAT  ) was the blue chips' biggest gainer as shares jumped 2.5%, seemingly on an interest rate cut by the Australian central bank. The rate cut could help spur capital investment in the Land Down Under, a mining-rich nation and a key market for Caterpillar.
